Terms and Conditions

**1. Scope of Work:** Sprinkler Surgeons (the "Company") agrees to provide sprinkler installation, repair, and maintenance services (the "Services") as detailed in the Service Agreement provided to the client (the "Client"). The Company will perform the Services in a professional, competent, and workmanlike manner.
 

**2. Estimates:** The Company will provide an estimate of the cost of the Services to the Client prior to commencing work. This estimate will be based on the Company's assessment of the work required and the cost of materials. The final invoice may vary from the estimate if additional work or materials are required.

 

**3. Payment:** Payment for Services is due upon completion of the Services. The Company will issue an invoice to the Client upon completion of the Services. 

 

**4. Late Payment:** If the Client does not make payment within 3 days of the date of the invoice (the "Due Date"), the Company reserves the right to charge a late fee. The late fee will be calculated as a percentage of the unpaid balance, at a rate to be determined by the Company. 

 

**5. Grace Period:** The Company may, at its discretion, offer a grace period of seven days after the Due Date before applying a late fee. This grace period is not guaranteed and is offered as a goodwill gesture.

 

**6. Warranty:** The Company warrants that the Services will be free from defects in workmanship for a period of one year from the date of completion. This warranty does not cover damage resulting from misuse, neglect, alterations made by the Client or third parties, or failure to have the sprinkler system properly winterized by Sprinkler Surgeons prior to freezing temperatures.

 

**7. Limitation of Liability:** The Company's total liability to the Client for damages, costs, and expenses under these terms and conditions shall not exceed the total amount paid by the Client for the Services. The Company shall not be liable for any indirect, incidental, consequential, or special damages.

 

**8. Indemnification:** The Client agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and contractors from and against any and all losses, damages, expenses, claims, demands, suits, and actions brought by any third party due to or arising out of the Client's use of the Services.

 

**9. Disputes:** Any disputes related to the Services, payment, or late fees should be addressed to the Company in writing within 10 days of the occurrence of the disputed event. If the parties are unable to resolve the dispute, they agree to submit the dispute to binding arbitration in the applicable jurisdiction.

 

**10. Governing Law:** These terms and conditions are governed by the laws of the state of Utah. Any legal actions related to these terms and conditions will be filed in the courts located in Weber County, Utah.

 

**11. Amendments:** The Company reserves the right to amend these terms and conditions at any time. The Company will notify the Client of any amendments, and continued use of the Services by the Client after such notification will constitute the Client's acceptance of the amended terms and conditions.

 

**12. Entire Agreement:** These terms and conditions, together with the Service Agreement, constitute the entire agreement between the Company and the Client and supersede all prior discussions, agreements, and understandings of any kind and every nature between them.

 

**13. Severability:** If any provision of these terms and conditions is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these terms and conditions will otherwise remain in full force and effect.

 

**14. Waiver:** No waiver of any of the provisions of these terms and conditions will constitute a waiver of any other provision (whether or not similar), nor will such waiver constitute a continuing waiver.

 

**15. Force Majeure:** The Company is not liable for any failure to perform its obligations under these terms and conditions if such failure results from any act of God, riot, war, civil unrest, flood, earthquake, or other cause beyond its reasonable control (including any mechanical, electronic, or communications failure, but excluding failure caused by the Company's negligence).
